These Terms and Conditions (the "Agreement") govern the provision of services by Hubtec ("We," "Our," or "Us") to the client ("You" or "Your"). By engaging with or accessing Our services, You agree to comply with and be bound by the terms set forth in this Agreement. If You do not agree to these terms, You must refrain from using Our services.
Hubtec provides HubSpot consulting services, which include, but are not limited to, CRM setup, implementation, configuration, ongoing support, and optimization. These services are offered under the following service models:
Essential Subscription: A subscription-based service encompassing standard CRM setup, implementation, and ongoing management.
Advanced Subscription: A subscription-based service offering bespoke CRM solutions, advanced configuration, and strategic consulting services, with pricing determined on a case-by-case basis.
Additionally, we provide a One-Time Setup service for clients who require initial HubSpot CRM setup and configuration.
Subscription limits, services included, and pricing details are outlined in Our service deck, which may be requested or will be shared during the initial consultation.
One-Time Setup: Payment for the One-Time Setup service is required in full prior to commencement of work. No further payments are due unless You elect to enter into a subscription agreement thereafter.
Subscription Services:
Essential Subscription: Monthly recurring payments, payable in advance.
Advanced Subscription: Pricing for the Advanced Subscription is bespoke and will be agreed upon in writing prior to the commencement of services.
All subscription services require a minimum commitment of three (3) months. Thereafter, You may terminate the subscription by providing at least one (1) month's written notice prior to the next billing cycle.
Upgrades: You may upgrade Your subscription at any time.
Downgrades: Downgrades may be allowed only if the ongoing services remain within the scope of the Essential Subscription offering. Any request for downgrades is subject to approval by Hubtec.
You agree not to misuse, misappropriate, or engage in any illegal or unethical use of the services provided by Hubtec or HubSpot’s CRM platform. Hubtec reserves the right to suspend or terminate Your access to services at any time should We determine, at Our sole discretion, that You have engaged in any such conduct.
To the fullest extent permitted by applicable law, Hubtec’s total liability to You for any claim, loss, or damage arising out of or in connection with this Agreement, whether in contract, tort (including negligence), or otherwise, shall be limited to the total amount paid by You for services during the last three (3) months of the services rendered. In no event shall Hubtec be liable for:
Any loss, damage, or expenses arising from third-party services or integrations that are outside of Hubtec’s control.
Any misuse or improper use of the HubSpot CRM by You or any third parties.
Any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, data, business interruptions, or goodwill.
Failure to perform any obligations under this Agreement due to circumstances beyond Hubtec's reasonable control, including but not limited to technical failures, power outages, or issues with third-party providers.
All intellectual property rights, including but not limited to the Hubtec logo, branding, website, training materials, and any proprietary tools or content created by Hubtec in the course of providing the services, are and shall remain the exclusive property of Hubtec. You are granted a limited, non-transferable, non-exclusive license to use such materials solely for the purpose for which they were provided. You may not copy, modify, distribute, or otherwise exploit these materials without Hubtec’s prior written consent.
Hubtec acknowledges that any data accessed from Your HubSpot account is confidential and is only used for the purpose of providing services as outlined in this Agreement. Hubtec agrees that it will not use Your HubSpot data for its own gain or for any purpose other than providing the agreed-upon services. For further information on how We handle Your data, please refer to Our Privacy Policy, which forms an integral part of this Agreement.
In the event of any dispute arising from or related to this Agreement, both parties agree to first seek to resolve the matter through mediation. Should mediation fail, either party may initiate legal proceedings. This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes not resolved through mediation shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
Subscription Cancellations: You may cancel Your subscription after the initial three (3) month commitment by providing at least one (1) month's written notice prior to the next billing cycle.
Hubtec reserves the right to modify, amend, or update these Terms and Conditions at any time, at Our sole discretion. In the event of any material change, You will be notified by email or through a notice posted on the Hubtec website. Continued use of the services following such notification shall constitute Your acceptance of the revised Terms and Conditions. It is Your responsibility to review these Terms periodically to remain aware of any changes.
